Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Robot Armin LLC ("Say Toucan", "we", "us") and govern your use of saytoucan.com, boards hosted by Say Toucan on customer domains, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to the organization.

2. Accounts

You are responsible for the activity that occurs under your account and for keeping your sign-in method secure. Notify us promptly at support@saytoucan.com if you believe your account has been accessed without authorization. You must provide accurate information and keep it current.

3. Boards and board owners

If you create a board, you are its owner. You are responsible for the board, including the content posted to it by others, the members you invite, and how you moderate it. If you connect a custom domain to a board, you represent that you control that domain. We may disconnect a domain that you do not control or that is used in violation of these Terms.

4. Acceptable use

You agree not to use the Service to:

  • violate any law or regulation, or the rights of others;
  • post content that is unlawful, defamatory, harassing, hateful, or sexually explicit, or that infringes intellectual property rights;
  • send spam or unsolicited messages, or impersonate any person or organization;
  • upload malware or attempt to gain unauthorized access to the Service, other accounts, or connected systems;
  • interfere with the operation of the Service, including by overloading or scraping it in ways that degrade it for others; or
  • resell or provide the Service to third parties other than through boards you operate.

We may remove content and suspend or terminate accounts that we reasonably believe violate these Terms.

5. Your content

You retain ownership of the content you post to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your content as necessary to provide the Service, including displaying it to the people you make it available to. You are responsible for having the rights needed to post your content.

6. Fees and payment

The Service offers a free plan and a paid plan ("Pro"). Pro is billed by Stripe on a recurring monthly basis at the price shown on our pricing page at the time you subscribe. Your subscription renews automatically each month until you cancel. You can cancel at any time from the billing portal in your account settings; your Pro features remain available until the end of the paid period. Except where required by law, fees are non-refundable. We may change the price of Pro with at least 30 days' notice by email; the new price applies from your next renewal after the notice period. You are responsible for any taxes that apply to your purchase.

7. Changes to the Service

We may change, add, or remove features of the Service, including features of the free plan, at any time. If we discontinue the Service or a paid feature you have paid for, we will give reasonable notice and refund any prepaid fees for the unused portion of your subscription.

8. Third-party services

The Service relies on third-party providers, including Google Cloud and Firebase, Cloudflare, Stripe, and Resend, and may link to third-party websites. We are not responsible for third-party services or content, and your use of them is governed by their own terms.

9. Intellectual property

The Service, including its software, design, and the Say Toucan name and logo, is owned by Robot Armin LLC and protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights. Feedback you give us about the Service may be used without obligation to you.

10. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. Sections 5 and 9 through 14 survive termination.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOT ARMIN LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR TEN US DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Robot Armin LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from content you post, your use of the Service, or your violation of these Terms or of any law or third-party right.

14. General

These Terms are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the date at the top. For material changes, we will notify you by email or by a notice in the Service at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
